Welcome to a Great Financial Opportunity and to a company dedicated to
creating Hope, Health, and Opportunity!

One of the keys to success is having an understanding of the compensation plan so that you can maximize the return on your investment of time and effort. You will see that while there are many aspects of the compensation plan, it is fairly simple to understand and easy to apply. Remember that in Simplexity, formerly Cell Tech, everyone has an equal opportunity to succeed.

Familiarize yourself with our products and resources for consumers and business builders. Begin with your own experience with the product line. One of the greatest rewards of being a part of our team is the difference you will make in the quality of your own life, and the lives of many others. Once you see the potential that our products have, you will want to share them with others. As you build and maintain a customer base, and teach others to do the same, you will earn income from your customers and from the business builders you help succeed.

Blue Green Algae is a unique, truly extraordinary food. Our Compensation Plan is also unique. Based on the simple act of sharing the Algae and your own Algae story with others person to person the plan embodies a fundamental natural law: When you honestly help others to prosper, you too will prosper. You might consider this law a blueprint for your success.

We have created a compensation plan that is as unique as our products and our culture. As you read about how you can build new success in your life, you'll want to envision how the features of our compensation plan interact, and how it can provide you with the income level you desire.

One of the keys to success with Cell Tech is having an understanding of the compensation plan so that you can maximize the return on your investment of time and effort. You will see that while there are many aspects of the compensation plan, it is fairly simple to understand. We will walk you through the basics of starting your Cell Tech business and provide details so you will know what to expect at each step of your Cell Tech journey. In Cell Tech, everyone has an equal opportunity to succeed.

Your Cell Tech journey starts with familiarizing yourself with our products and resources for consumers and business builders. Begin with your own experience with the product line. Taking the time to understand what’s happening to your body when you add Super Blue Green® products to your diet will help you to communicate the health benefits to others. One of the greatest rewards of being a part of Cell Tech is the difference you will make in the quality of your own life and the lives of many others. Once you see the potential that our products have, you will want to share them with others. This desire to help is what really sets Cell Tech network marketing apart from other companies. As you build and maintain a customer base, and teach others to do the same, you will earn income from your Cell Tech customers and from the business builders you help succeed.

There are two categories of membership with Cell Tech: Distributor and Preferred Customer. Distributors are interested in receiving commissions for their own purchases as well as for purchases made by those enrolled in their network. A Preferred Customer (PC) is someone who is interested in consuming Cell Tech’s products, but is not interested in the business opportunity. Many PCs eventually see how easy our products are to share and, in turn, become Distributors. Both Distributors and Preferred Customers pay wholesale prices for our products.

All new Distributors begin at the Member title. This allows you to be eligible to receive a 5% commission on the purchases you make, and on the purchases made by any PCs you enroll. As you attain higher titles, the percentage you receive on those purchases can increase to a full 25%. Volume that is accrued in your own personal account is called Personally Purchased Volume (PPV). This volume, combined with any volume from your PCs’ purchases is called Personal Volume (PV). Volume requirements for commissions are based on the commissionable amount of our products.

A note about minimum commission qualifications: The Personally Purchased Volume requirements for earning commissions vary by title (see Chart 1). To earn commissions on your purchases, you must meet the PPV requirement for your title in a commission period (one calendar month). In a commission period, the commissionable amount of all orders placed in your account will accrue towards meeting your PPV requirement. In order for Cell Tech to send your commission check, you must have accrued at least $17.50 worth of commissions. For example: You are a Representative, and in June you have a PPV of $200. Since a Representative is eligible to receive 15% commissions on that $200, you will accrue $30 worth of commissions. Since this $30 exceeds the minimum of $17.50 for receiving a commission check, your check will be mailed at the end of July. A data processing fee of $2.50 is deducted from each commission check issued. In the above scenario, you would receive a check for $27.50 ($30 minus the $2.50 data processing fee). Please note that commissions will accumulate in your account until they total at least $17.50.

Personal Volume Commissions

By meeting your PPV, you will be paid on your entire PV, which includes your PCs’ purchases. For example: You are a Representative with three PCs. During July, you accrue $50 of PPV from your own purchases. Additionally, your PCs each place an order with a commissionable amount of $50, which will accrue $150 in PV for you. This gives you a total PV of $200. Since PV is defined as the total commissionable amount from your own account (PPV) and from your PCs, you will be paid a 15% commission on your PV of $200 ($50+$50+$50+$50 = $200. 15% x $200 = $30). This means that you will receive a check for $27.50 ($30 minus the $2.50 data processing fee).

Building Your Network

You will reach higher titles by enrolling other Distributors and Preferred Customers. As soon as you have enrolled your first Distributor or PC, you have started your network. The Distributors you enroll may also begin enrolling others, increasing the number of people in your network. If you look at Chart 1 (below), you will see that the requirements for reaching the Representative title are for you to have three Distributors or PCs, at least two of whom need to be on your first level. Level refers to the literal structure of the people in your network. A first-level person in your network is someone who is directly sponsored by you. A second-level person in your network is someone who is sponsored by any of your first-level Distributors, and so on (see Figure 1).

Supporting your Distributors and helping them to enroll others is truly the essence of network marketing, and your business will begin to accelerate as your Distributors build their own businesses. Chart 1 indicates the membership requirements for reaching titles leading up to Executive. To reach the title of Leader—in addition to having five PCs or Distributors (at least two of whom need to be on your first level)—there is also a $750 Personal Group Volume requirement during a commission period. (Please note that this is a one-time Personal Group Volume requirement for achieving the Leader title. Once you are a Leader, the monthly Personal Group Volume requirement is $250.) Your Personal Group Volume (GV) is the total of your PV (which comes from you and your PCs), and the volumes generated by Distributors in your personal group. Your personal group consists of your PCs, and any Distributors in your network with the title Leader and below. On the next page, we will explain what happens to you and your network when you help people reach the Executive title.

Personal Group Commissions

So far, you have learned how you are paid on your own purchases, and the purchases of your Preferred Customers. Remember that meeting your PPV requirement will always allow you to be paid on your PV. Now that you understand what makes up your Personal Group Volume (GV), you will see how you are paid on Distributors in your personal group. For the Representative title, there is no GV requirement in order to be paid on Distributors in your personal group. For the Leader title, a GV of $250 needs to be met in a commission period in order for you to be paid on Distributors in your personal group. For Executives, a GV of $500 needs to be met in a commission period in order to be paid on Distributors in your personal group. The percentages paid to you are based on your title, and the titles of your first-level Distributors (see Chart 1). For example: You are a Leader entitled to 5% of the GV from your first-level Representatives, and 10% of the GV from your first-level Members. Though commissions are paid based on the title of your first-level Distributors, the GV from those Distributors is made up from their personal groups. You can see how you will begin to receive commissions by helping others in your network develop their businesses. This is another one of the unique aspects of working with Cell Tech—you will best succeed by helping others succeed. Every Cell Tech Distributor has exactly the same opportunity to achieve success!

Representatives and Leaders need to understand that they will not receive commissions from first-level Distributors who have the same or a higher title. In addition, Distributors who have a title higher than their sponsor for three consecutive months will pass their sponsor on the fourth month. Executives cannot be passed, and—as long as Executive requirements are met—will always be eligible to receive commissions on anyone in their network, regardless of title. This mechanism keeps active parts of the Cell Tech network working closely together.

Reaching Executive

Now that we have covered the basics of Chart 1, it’s time to learn more about the Executive title. To reach the title of Executive—in addition to having ten PCs or Distributors (at least two of whom need to be on your first level)—there is also a $1500 Personal Group Volume requirement (of which no more than $750 can come from any one first-level Distributor’s group) during a commission period. (Please note that this is a one-time Personal Group Volume requirement for achieving the Executive title. Once you are an Executive, the monthly Personal Group Volume requirement is $500.)

Executives are considered a “breakaway” title. When you meet the requirements to reach Executive, you will “break away” from your sponsor’s personal group. Additionally, your GV will no longer count towards your sponsor’s GV. As an Executive, you have a clear responsibility to maintain a customer base and coach your business builders. When you break away as an Executive, your sponsor will consider you and your personal group as a distinct business entity in his or her network. Once you have achieved the Executive position, it is time to start helping people in your network to also become Executives.

Maintaining Your Title

Distributors with the title Leader and higher who allow more than four months to transpire with fewer people in their personal group than specified for that title will be retitled at the appropriate rank. Retitlement will be based on the number of people required for a given title, but will never be below Representative. For example: You are an Executive with 10 Distributors or PCs in your personal group. In June, you find that one of your Distributors has not met the qualifications for remaining active (see Chart 1 for a definition of “active”). This Distributor will be considered inactive at the beginning of July. July will then be your first month of a four-month grace period. Assuming there are no other changes to your personal group, you will have to enroll or reinstate one person into your personal group by the end of October to maintain your Executive status. Otherwise, you will be retitled as a Leader at the beginning of November. During the four-month grace period, you are still eligible to receive commissions at your current title and will continue to count as a qualified Executive for your sponsor’s gemstone title. Distributors retitled below Executive keep their personal group, and they themselves become part of their sponsor’s personal group. In addition, they will lose any breakaway Executives to their sponsor.

Gemstone Executive Titles

When you maintain your title and help others reach the Executive title, you will advance to new gemstone titles. Your gemstone title will be defined by how many first-level titled Executives you have. We use the term “titled Executive” because an Executive only needs to have the title of Executive—not necessarily be qualified for commissions—in order to count as a first-level Executive. The number of first-level Executives (or Executive “legs”) you have determines your gemstone title (see Chart 2).

Chart 2 is an excellent tool to see how you will be paid as a gemstone. The number of titled Executives you are required to have for the titles Amethyst to Blue Diamond is also the number of generations on which you are eligible to be paid. (See the next page for an explanation of “generations.”) For example: You have four first-level Executives. Your title is Emerald and you are eligible to be paid on four generations.

  • Personally Purchased Volume (PPV)
  • Personal Group Volume (GV)
  • Level 1 Breakaway Group Volume (L1BGV)

The term "Executive" here refers to anyone with an Executive or gemstone Executive title.
**Blue Green Diamond Qualifications:

  • A total of $12,000 from GV and L1BGV combined, with a minimum of $2000 from GV and a minimum of $6,000 from L1BGV, and the balance ($4,000) from either GV or L1BGV.
  • A volume of $100,000 from your pay group.

Additional Blue Green Diamond Bonus:
Qualified Blue Green Diamonds will share a pool of 1/2 of 1% of Cell Tech's entire commissionable volume for that month.

Chart 2

Level 1 Breakaway Group Volume (L1BGV)

We have already covered the fact that if you meet your PPV requirement, you are eligible to be paid on your PV. If you also meet your GV requirement, you will be eligible to be paid on your personal group. Now we will discuss the last kind of commission requirement, which is applicable only to gemstones: Level 1 Breakaway Group Volume (L1BGV). Level 1 Breakaway Group Volume is made up of the Personal Group Volumes accrued from all of your first-level Executives (see Figure 2). L1BGV does not include your own GV; the volume comes from the same first-level Executives who give you your title. Look again at the L1BGV requirements for each title on Chart 2. You will notice that the amount is $500 multiplied by the number of first-level Executives required for the title. However, your L1BGV can come in any amount from any of your first-level Executives. For example: You are an Emerald and need to meet a $2000 L1BGV requirement. You have one Executive with an $1800 GV and another with a $300 GV. Your L1BGV is $2100. Since you met your title’s L1BGV requirement, you will be paid on the number of generations of breakaways available for your title (see Chart 2). If for some reason you fall short of your title’s L1BGV requirement, you will be paid based on whatever gemstone title requirement you do meet or exceed. For example: You are a Diamond and need to meet a $2500 L1BGV. Your L1BGV for the June commission period is only $2100. You will not be paid as a Diamond for June because you failed to meet your Diamond L1BGV requirement. Instead, you will be paid as an Emerald for June because you have exceeded the $2000 L1BGV requirement for Emerald.

Compression and Roll-ups

Now that you understand the gemstone commission requirements, let’s look at how you are paid on your network of breakaway Executives. There are two terms you need to be familiar with: Level Executives and Generations. “Level Executives” refers to the literal structural position of Executives in your network. You may have 3, 5, or 15 levels of Executives, just as you may have many levels in your personal group. “Generation,” however, refers to the structure of commission-qualified Executives in your network in a given commission period. Commission-qualified Executives, for purposes of generation pay, are those Executives who have met their $100 PPV and $500 GV. For example: You are an Emerald with a “leg” in your network that is nine levels deep, and your Level 1, 3, 6, and 9 Executives are commission-qualified. They are considered your G1, G2, G3, and G4. Suppose your Level 2 Executive has a GV of only $300. Since Generation pay refers to the structure of commission-qualified Executives in your network, any GV accrued by an Executive who is not commission-qualified will “compress” up to the next upline Executive who is commission-qualified. Subsequently, the $300 GV from your Level 2 Executive will compress up to your Level 1 Executive (because he or she is commission-qualified) and be added to the GV that you are paid on at the G1 percentage (see Figure 3). Please note that Executives cannot count on compressed volume to meet their GV requirement. The GV requirement must be met prior to compression.

Cell Tech’s commission roll-up program assures that maximum commissions are paid on commissionable volume. For example: You do not meet your PPV or GV requirements. Your next upline who does meet commission requirements is paid on your GV as though it is part of his/her personal group. If you meet your PPV requirement, but do not meet your GV requirement, then you are paid only on your PV and your next upline who does meet commission requirements is paid on the remainder of your GV as though it is part of his/her personal group (see Figure 4).

That’s it! Whether you desire to pay for your Cell Tech products or live the life of your dreams, Cell Tech is here to help you. Thank you for taking the time to learn about our company—we are excited to find out where your Cell Tech journey will take you!
